1. Scope

1.1. These General Terms and Conditions (”Terms”) apply to all quotations, offers, sales, and deliveries made by Quality Packaging Europe AB (”Qpack”) to any buyer (”Customer”), unless otherwise agreed in writing.

1.2. Any deviating terms in Customer’s purchase order or other documents shall have no effect unless expressly accepted in writing by Qpack.

1.3. By accepting an order confirmation, quotation, or invoice, Customer agrees to be bound by these Terms.


2. Prices and Taxes

2.1. Prices are quoted in SEK or EUR as stated in the order confirmation, exclusive of VAT, customs duties, and any applicable taxes or charges.

2.2. Qpack’s price quotations are valid for 30 days from the date of issue, unless otherwise stated. Prices are based on current raw-material, energy, and transportation costs at the time of quotation.

2.3. Qpack reserves the right to adjust its general price lists or quoted prices for future orders to reflect changes in raw-material costs, energy, freight, exchange rates, or inflation. Such adjustments shall not affect already confirmed orders; Qpack is under no obligation to accept new orders at previous prices.

3. Orders and Order Confirmation

3.1. The Customer shall submit purchase orders in writing. Qpack will issue an order confirmation stating the agreed specifications, quantities, prices, and delivery terms. The order becomes binding for both parties when the Customer has approved the order confirmation in writing (by email or other written means). Once approved, the order cannot be changed or cancelled without Qpack’s written consent.

3.2. Qpack reserves the right to refuse orders or require prepayment at its discretion.

4. Payment

4.1. Unless otherwise agreed, payment is due net 30 days from the invoice date.

4.2. In the event of late payment, interest on overdue amounts shall accrue at 2% per commenced month until full payment has been received.

4.3. Title to goods remains with Qpack until full payment has been received. Risk, however, passes as stated in Section 5.

4.4. Failure to pay entitles Qpack to suspend deliveries, cancel current and future orders, and claim damages for any resulting loss.

5. Delivery and Risk

5.1. Unless otherwise stated, delivery is Ex Works (Incoterms 2020).

5.2. Risk passes to the Customer when goods are handed to the carrier or made available for pickup.

5.3. Delivery dates are estimates only. Qpack is not liable for delay.

5.4. Partial deliveries are permitted.

6. Quantity Tolerance

6.1. Delivered quantities may deviate by up to ±20% or 500 pcs (whichever is greater) per design or SKU, unless otherwise agreed. The invoice will reflect the actual delivered quantity.

7. Inspection and Complaints

7.1. The Customer must inspect the goods immediately upon receipt.

7.2. Visible defects or shortages must be notified in writing within 10 calendar days after delivery.

7.3. Hidden defects must be notified within 30 days after delivery.

7.4. If no notice is received within these periods, the goods are deemed approved.

7.5. Returns are permitted only with Qpack’s prior written authorization and at the Customer’s expense.

 

8. Warranty and Limitation of Remedies

8.1. Qpack warrants that goods will materially conform to agreed specifications, subject to customary industry tolerances.

8.2. Qpack’s sole obligation and the Customer’s exclusive remedy is, at Qpack’s option, replacement or credit for the non-conforming goods.

8.3. Qpack gives no other express or implied warranties, including merchantability or fitness for a particular purpose.

8.4. Qpack’s total liability, whether in contract, tort, or otherwise, is limited to the invoiced value of the affected delivery.

8.5. Qpack shall under no circumstances be liable for indirect or consequential losses, including loss of production, profit, or goodwill.

9. Customer Responsibilities and Indemnity

9.1. The Customer is responsible for ensuring that the product, packaging, labeling, and design comply with applicable laws and regulations in the market of sale.

9.2. The Customer warrants that all materials, texts, graphics, and design files provided to Qpack do not infringe third-party rights.

9.3. The Customer shall indemnify and hold Qpack harmless from any claims, damages, and costs (including legal fees) arising from misuse, non-compliance, or IP infringement.

10. Tools, Artwork, and Intellectual Property

10.1. Printing cylinders, dies, clichés, tools, and design files created by or for Qpack are Qpack’s property, even if costs are invoiced to the Customer. They are stored maximum 18 months.

10.2. Qpack retains copyright and other IP rights to sketches, layouts, mockups, and design concepts prepared by Qpack.

10.3. The Customer may not copy, distribute, or use such materials without Qpack’s written consent.

11. Force Majeure

Qpack shall not be liable for delay or failure caused by events beyond its reasonable control, including fire, flood, war, strike, transport disruption, shortage of raw materials, epidemic, or governmental actions. Delivery time shall be extended accordingly.

12. Product Liability

12.1. Qpack is liable only for personal or property damage caused by proven gross negligence by Qpack.

12.2. Qpack is not liable for indirect or consequential loss.

12.3. The Customer shall indemnify Qpack for third-party claims exceeding these limitations.

13. Marketing Reference

Qpack is entitled to use the Customer’s trade name, logo, and images of delivered products for reference and marketing, unless the Customer objects in writing.

14. Governing Law and Jurisdiction

14.1. These Terms and all sales are governed by Swedish law.

14.2. Any dispute shall be finally settled by the District Court of Gothenburg (Göteborgs tingsrätt) as the court of first instance.

14.3. In the event of discrepancies between the versions, the English version shall prevail.
